The mission of the General Counsel is to build and manage a high-performing legal function that supports Vendasta's global scale as a strategic "Right-Hand" to the executive team. The incumbent of this role demonstrates exceptional business acumen, strategic legal planning, proactive risk management, and organizational stewardship and will be responsible for leading the organization's day-to-day and long-term legal strategy, managing capital market transactions, and overseeing corporate compliance and risk mitigation across an AI-first SaaS environment.
What You’ll Own
Legal Strategy & Corporate Transactions:
Define overall organizational legal and AI strategies while overseeing ethical and responsible implementation of frameworks across all corporate, commercial, and intellectual property matters.
Lead the legal strategy for upcoming mergers, acquisitions, debt and equity transactions, and partner with corporate development to navigate pre-and post-close due diligence and integration.
Support the CFO in building out a comprehensive, best-in-class capital markets communication program to ensure organizational liquidity event readiness.
Contract Management & Framework Governance:
Negotiate and draft sophisticated commercial agreements, policies, reports, and guidelines for suppliers, customers, and global business partnerships.
Establish organizational governance frameworks and a centralized company policy repository, working with cross-functional policy owners to verify accuracy, alignment, and completeness.
Oversee transactional negotiations while balancing the technical, commercial, financial, and legal priorities of the organization to effectively protect Vendasta’s business interests.
Compliance, Risk Mitigation & External Relations:
Actively evaluate prospective macro-level risk and provide proactive guidance to the executive team on data privacy (including GDPR, HIPAA, and SOC) and changing global regulatory fields.
Manage ongoing relationships, compliance workflows, and information requests with external legal stakeholders, regulators, creditors, and investors.
Coordinate all corporate governance filings, administration of the Annual General Meeting (AGM), and the structural integrity of corporate shareholdings, records, minutes, and resolutions.
How We’ll Measure Success
Role Performance Metrics:
Time-to-close on critical commercial contracts and strategic partnership agreements.
Percentage of complex organizational legal workflows automated or optimized through intentional AI integration.
Strategic expansion of global data compliance frameworks (e.g., successful renewal/expansion of SOC, GDPR, and HIPAA compliance protocols) with zero material compliance breaches.
Next-Level Stretch Target: Achieve a 25% reduction in corporate transactional overhead through the creation of scalable, cross-departmental AI-driven diligence frameworks.
Team Performance Metrics :
Internal stakeholder satisfaction rate regarding legal advisory response times and clarity of mitigation advice.
Maintain a 100% on-time record for required corporate administrative records, AGM setups, and external regulatory filings.
Level of legal function efficiency improvements, measured via workflow tool adoption or optimized internal template repositories.
Requirements
What You’ll Bring
Role-specific Knowledge, Skills and Abilities (Must Have & Nice to Have):
5+ years of relevant experience (post-admission to the bar) in a law firm or as an in-house counsel: Preferably within a SaaS or technology environment.
Bachelor’s degree preferred in Bachelor of Laws (LLB) or Juris Doctor degree (JD).
Active member in good standing with the Law Society of Saskatchewan (or equivalent reciprocal jurisdiction).
Ability to communicate clearly and effectively in written and verbal formats.
Comprehensive expertise in corporate, commercial, and intellectual property law within technology or SaaS contexts.
Proven capability to establish trusted organizational governance frameworks and manage ethical, secure AI strategy implementations (AI Vision/M5–M6 level alignment).
Demonstrated competency in leading mergers and acquisitions (M&A) and capital markets transactions from due diligence through post-close integration.
In-depth knowledge of global privacy rules and data protection requirements (GDPR, HIPAA, SOC).
